利用規約

本規約は、株式会社ユニベル（以下「当社」）が提供する事業者向けの業務支援ツール（以下「本ツール」）の利用条件を定めるものです。本ツールを利用する事業者（以下「利用者」）は、本規約に同意したうえで利用するものとします。

第1条（本ツールの概要）

本ツールは、利用者が自ら運用権限を持つ、または権限を委任されている外部プラットフォーム上のアカウントについて、投稿およびコメントへの返信を行う業務を支援するものです。外部プラットフォームとの連携は、当該プラットフォームが公式に提供するAPIを通じてのみ行います。

第2条（アカウントの認可）

  1. 本ツールが外部プラットフォーム上のアカウントを操作できるのは、当該アカウントの所有者が、そのプラットフォームの公式な認可手続きを完了した場合に限られます。
  2. 利用者は、認可を取得するにあたり、アカウント所有者に対して本ツールの用途と取り扱う情報の範囲を説明し、その同意を得るものとします。
  3. アカウント所有者は、いつでも認可を解除することができます。解除後、当社は当該アカウントに関する情報をプライバシーポリシーに従って削除します。
  4. 当社および利用者は、いかなる場合もアカウントのパスワードを取得・保管しません。

第3条（返信内容の確認と責任）

本ツールは、過去の返信内容をもとに返信文の案を作成しますが、送信は利用者の担当者が内容を確認し、承認した場合にのみ行われます。本ツールが自動的に返信を送信することはありません。

送信された返信の内容についての責任は、これを承認した利用者が負うものとします。利用者は、承認にあたり、内容が事実に反していないこと、および第三者の権利を侵害しないことを確認するものとします。

第4条（禁止事項）

利用者は、本ツールの利用にあたり、次の行為を行ってはなりません。

  1. 認可を得ていないアカウントを操作し、またはその情報を取得しようとする行為
  2. 同一または類似の内容を短時間に大量に送信する行為その他、外部プラットフォームがスパムとして扱う行為
  3. 実在しない評価・感想を装う行為、その他エンゲージメントを人為的に操作する行為
  4. アカウント所有者以外の者が所有者本人であるかのように誤認させる行為
  5. 第三者の名誉・信用・プライバシー・知的財産権を侵害する内容を送信する行為
  6. 法令または外部プラットフォームの利用規約・コミュニティガイドラインに違反する行為
  7. 本ツールを、当社の許諾なく第三者に再提供する行為

第5条（外部プラットフォームの規約）

本ツールの利用は、連携先の外部プラットフォームが定める利用規約およびガイドラインに従って行われる必要があります。これらに変更があった場合、当社は本ツールの仕様を変更し、または機能の提供を停止することがあります。

第6条（利用の停止）

利用者が本規約に違反した場合、または外部プラットフォームから指摘を受けた場合、当社は事前の通知なく本ツールの提供を停止することがあります。

第7条（免責）

  1. 当社は、外部プラットフォームの仕様変更、障害、アカウントに対する措置その他当社の責めに帰さない事由により生じた損害について、責任を負いません。
  2. 当社は、本ツールにより作成された返信文の案の内容の正確性を保証しません。内容の確認は利用者の責任において行われます。

第8条（本規約の変更）

当社は、必要に応じて本規約を変更することがあります。重要な変更を行う場合は、本ページに掲載してお知らせします。

第9条（準拠法および管轄）

本規約は日本法に準拠します。本ツールに関して紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

Terms of Service

Effective: July 29, 2026

These Terms govern the use of the operational tools (the "Tool") provided by UNIBELL Inc. ("we", "us") to businesses ("Users"). By using the Tool, the User agrees to these Terms.

1. Overview

The Tool supports Users in publishing posts and replying to comments on accounts on third-party platforms that they operate themselves or have been authorized to manage. Integration with those platforms occurs exclusively through the official APIs those platforms provide.

2. Account authorization

  1. The Tool may act on an account only after the account owner has completed that platform's official authorization flow.
  2. Before obtaining authorization, the User must explain to the account owner the purpose of the Tool and the scope of data handled, and obtain their consent.
  3. The account owner may revoke authorization at any time. We then delete the data relating to that account in accordance with our Privacy Policy.
  4. Neither we nor the User ever obtains or stores account passwords.

3. Review of replies and responsibility

The Tool prepares suggested reply drafts based on the account's previous replies. A reply is sent only after the User's operator has reviewed and approved it. The Tool never sends replies automatically.

The User who approved a reply is responsible for its content, and must confirm on approval that it is accurate and does not infringe the rights of others.

4. Prohibited conduct

  1. Operating, or attempting to obtain data from, accounts that have not granted authorization
  2. Sending large volumes of identical or similar content in a short period, or any other conduct treated as spam by the platform
  3. Fabricating reviews or impressions, or otherwise artificially manipulating engagement
  4. Causing others to believe that a person other than the account owner is the owner themselves
  5. Sending content that infringes the reputation, privacy or intellectual property rights of others
  6. Violating applicable law, or the terms of service or community guidelines of the third-party platform
  7. Providing the Tool to third parties without our permission

5. Third-party platform terms

Use of the Tool must comply with the terms and guidelines of the connected platform. If those change, we may modify the Tool or suspend functionality.

6. Suspension

If a User breaches these Terms, or if we receive notice from a third-party platform, we may suspend provision of the Tool without prior notice.

7. Disclaimer

  1. We are not liable for damages arising from changes in platform specifications, outages, actions taken against accounts, or other causes not attributable to us.
  2. We do not warrant the accuracy of suggested reply drafts produced by the Tool. Verification is the responsibility of the User.

8. Changes

We may amend these Terms as necessary. Material changes will be announced on this page.

9. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute relating to the Tool.
